What clients often ask us.
01What type of company can benefit from this service?
Established companies with proven business models and a defined growth strategy that are entering a new stage of development or expansion: companies looking to bring in capital to execute their plans, diversify their sources of funding or take on larger transactions, optimising their capital structure and reducing their reliance on traditional bank financing.
02What are the main advantages of the structure proposed by BIM?
The structure provides committed capital from the outset, avoiding the need to go back to investors to fund and approve each transaction individually. The management regulations set out in advance the investment policy, operating limits and powers of the management team, allowing it to make decisions within the agreed framework without convening a committee for each transaction. This brings greater agility, autonomy and execution capacity, while maintaining clear governance aligned with investors’ interests. The vehicle also offers a more efficient tax framework, both for the structure and for its investors.
03How is the management team remunerated over the life of the vehicle?
The structure provides for periodic remuneration of the management team to cover the resources required for the vehicle’s administration, monitoring and proper execution. It is set from the outset in a transparent, proportionate manner in line with standard market practice, supporting operational continuity and the alignment of interests with investors.
04What is the cost model associated with structuring?
The proposed model seeks to link a significant portion of the structuring costs to the successful execution of the transaction, where the nature of the services allows. This approach limits the client’s initial financial exposure, improves the efficiency of resource allocation and strengthens the alignment of interests. All costs are agreed in advance on the basis of transparency, proportionality and market standards.
